1. Agreement to Terms & Eligibility

By accessing or using the hosting services, software development platforms, and websites operated by WinWinHost Inc. ("WinWinHost", "we", "us", or "our"), including winwinhost.com, you agree to be bound by these Terms of Service. If you do not agree to all terms, conditions, and policies set forth herein, you must immediately discontinue use of all WinWinHost services.

You must be at least 18 years of age or possess the legal authority to enter into binding agreements on behalf of your organization to purchase or utilize our services.

2. Hosting Services, Availability & 99.9% SLA Commitment

WinWinHost provides managed Windows web hosting, Linux/Node.js cloud infrastructure, reseller hosting, MultiDomain CMS platform hosting, and related digital engineering services. We commit to maintaining a 99.9% service availability (SLA) for our core hosting infrastructure during each calendar month.

The SLA excludes scheduled maintenance windows, customer-instigated script errors or database corruptions, upstream carrier fiber cuts, and force majeure events beyond our direct technical control. In the event of confirmed, unscheduled infrastructure outages exceeding our SLA, qualifying accounts may request service credits in accordance with our standard service credit schedule.

3. Account Registration & Security Responsibilities

When contracting hosting services, clients agree to provide accurate, current, and complete identification and billing information. You are solely responsible for safeguarding the confidentiality of your account credentials, FTP/SFTP access keys, database passwords, and administrative dashboard logins.

You agree to notify WinWinHost immediately of any unauthorized access or security breach involving your account. WinWinHost is not liable for losses resulting from compromised client credentials or insecure third-party scripts installed on your web server.

4. Acceptable Use Policy (AUP)

All services provided by WinWinHost may only be used for lawful purposes. Transmission, storage, or presentation of any information, data, or material in violation of applicable United States federal, state, or international law is strictly prohibited. Prohibited activities include, without limitation:

• Unsolicited bulk email transmission (spamming) or operating open mail relays.
• Hosting or distributing malicious software, ransomware, phishing portals, or rootkits.
• Denial of Service (DoS/DDoS) origination, port scanning, or vulnerability probing.
• Unauthorized hosting or distribution of copyrighted material, trademarks, or proprietary trade secrets without license.
• Operating high-frequency cryptocurrency mining processes on shared multi-tenant CPU resources without an isolated dedicated server package.

Violations of this Acceptable Use Policy will result in immediate service suspension, termination without refund, and report to law enforcement authorities where warranted.

5. Resource Allocation & Fair Use Policy

WinWinHost unlimited hosting packages provide generous bandwidth and web storage designed to serve legitimate business, e-commerce, and personal web presences. To maintain high performance for all tenants across our cluster, fair use guidelines apply.

Hosting accounts may not be used primarily as remote cloud backup storage, archival dumps, file distribution mirrors for torrent networks, or external media streaming proxies. Accounts causing continuous, abnormal server CPU/RAM exhaustion will be assisted with code optimization or migrated to isolated dedicated cloud instances.

6. Billing, Subscription Renewals & Cancellation

Hosting packages and subscription services (including the $10/mo MultiDomain CMS and $49/mo Agency Cloud) are billed in advance on a recurring monthly or annual billing cycle. Payments are securely processed via certified PCI-compliant gateways, including the PayPal Web SDK.

Clients may cancel ongoing subscriptions at any time through their client portal or by contacting billing support prior to the renewal date. Service cancellations take effect at the conclusion of the active prepaid billing period. Refund eligibility for initial service periods is governed by our standard 30-day money-back guarantee for qualifying shared hosting plans.

7. Intellectual Property & Customer Content

You retain all ownership rights, copyrights, and intellectual property in the content, software, images, and data you upload to your WinWinHost servers. WinWinHost makes no claim of ownership over customer content.

All proprietary software, server management interfaces, logos, stylesheets, and documentation developed by WinWinHost Inc. remain the exclusive intellectual property of WinWinHost.

8. Limitation of Liability & Warranty Disclaimers

WinWinHost provides all services, infrastructure, and tools on an "as is" and "as available" basis, without representations or warranties of any kind, whether express, implied, or statutory.

In no event shall WinWinHost, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, revenue, data, or business interruption—arising from the use or inability to use our services, even if advised of the possibility of such damages. In all circumstances, WinWinHost's total cumulative liability is strictly limited to the amount paid by the customer for services during the three (3) months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms of Service and any contractual relationship between WinWinHost Inc. and its clients shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to conflict of law principles. Any dispute or legal action arising out of or related to our services shall be submitted to the exclusive jurisdiction of the state or federal courts located in Los Angeles County, California.

10. Amendments & Contact Information

WinWinHost reserves the right to amend or update these Terms of Service periodically to reflect operational, legal, or regulatory requirements. Material revisions will be posted on this page with an updated effective date. Continued use of our hosting platforms following posted revisions signifies acceptance of the updated terms.
